Position Summary

As Senior Counsel, you will play a critical role in supporting the domestic and international operations of the Huber Engineered Materials (HEM) Business Unit (BU), as well as in supporting various projects and initiatives, including mergers and acquisitions, for J.M. Huber Corporation. This position will provide direct and meaningful support to the HEM Vice President and General Counsel, as well as J.M. Huber Corporation’s Vice President and Assistant General Counsel, and the various senior leaders and functional departments within the HEM organization.  The Senior Counsel will be responsible for driving and successfully completing complex legal projects, as well as handling day-to-day issues in an effective and efficient fashion.  This is a generalist position, with an emphasis on mergers and acquisitions and other commercial transactions, and requires a broad-based legal and business skill set.   The Senior Counsel will stretch outside of his/her comfort zone to learn the business as it evolves and work collaboratively with teammates and across the company to further HEM and J.M. Huber Corporation’s mission and drive success.

 

Flexible Work Arrangement: This remote is eligible for a hybrid work arrangement with 3-days working from the Atlanta office and 2-days working from home each week. The role may travel up to 25% of the time.

Principal Duties & Responsibilities

  • Provide overall legal support to the HEM Business Unit
  • Support mergers, acquisitions, divestitures, joint ventures, and other corporate and commercial transactional activities on a global basis, including leading legal due diligence and providing effective legal support to the J.M. Huber Corporation’s Vice President and Assistant General Counsel, the corporate development team and cross functional teams; negotiate ancillary agreements such as leases, employment agreements, supply agreements, etc.
  • Provide support on, draft and negotiate a variety of commercial agreements supporting product development, procurement, supply, distribution, marketing and sales.
  • Support capital projects for global manufacturing footprint including drafting and negotiating engineering, procurement, construction, real estate and other related agreements.
  • Provide strategic input on operational and value chain sustainability goals, policy, due diligence, governance, and disclosures
  • Formulate strategy for and manage claims and litigation
  • Advise on labor and employment law, including works council and union matters.
  • Manage global cross-functional, legal projects in support of BU objectives. 
  • Provide legal guidance on domestic and global regulatory enforcement matters, including safety and health, product regulatory, trade compliance, anti-bribery/anti-corruption, antitrust, privacy, among others.
  • Conduct legal training programs for internal clients.
  • Report to HEM Vice President and General Counsel, the J.M. Huber Corporation’s General Counsel or other leaders as the case may be, on status of projects she/he is leading to maintain stakeholders appropriately updated.
  • Manage outside counsel engagements including establishing budgets and managing fees in compliance with the company’s outside counsel policy.
  • Proactively identify legal risks affecting the company and collaborate with the HEM Vice President and General Counsel and senior management to mitigate risks.
  • As assigned, support other Huber business units, functions, or other legal team colleagues on specific matters or projects.
  • Contribute to the running of an efficient law department and assisting with the learning and development of more junior lawyers or support staff.

Education & Experience

Required:

  • Bachelor’s and J.D. degree (or equivalent) from an accredited law school in the United States; admitted to practice law in at least one jurisdiction required
  • 10+ years of experience as a licensed attorney in the areas of commercial and transactional work; with 5+ years in-house with a global manufacturing company, and a preference for a more generalist experience
  • Experience in supporting business clients directly and providing business-oriented, pragmatic advice to maximize business opportunities while minimizing risk
  • Comfortable advising international clients and working on cross-border transactions

Preferred:

  • Mergers & Acquisitions experience
  • Environmental, Social and Governance (ESG) experience
  • Ability to speak multiple languages
